Effective Date:

XPSR · Operated by The.Media.Corp LLC · California, United States

support@xpsr.com

These Terms of Service (“Terms”) govern your access to and use of XPSR, including xpsr.com and the services, features, events, and content made available through XPSR.

XPSR is operated by The.Media.Corp LLC, a California limited liability company (“XPSR,” “we,” “us,” or “our”).

By accessing or using XPSR, creating an account, submitting content or opportunities, or purchasing an event ticket or digital access pass, you agree to these Terms and any additional policies applicable to the service or purchase you are using.

If you do not agree to these Terms, you should not use XPSR.

1. About XPSR

XPSR is a creative community and platform designed to help connect creatives, businesses, organizations, students, educators, and other members of the community through opportunities, education, events, networking, and related resources.

XPSR currently serves the Inland Empire and surrounding creative community, although participation may be available to users outside the region.

Certain XPSR services may be available without an account, while other services require a free XPSR Account.

XPSR may introduce additional services, features, or paid offerings in the future.

2. Eligibility

You must be at least 18 years old to create an XPSR Account.

By creating an XPSR Account, you represent that you are at least 18 years old and legally capable of entering into a binding agreement.

Individuals under 18 may access portions of XPSR that do not require an account where otherwise permitted, but may not create an XPSR Account, Creator Profile, submit opportunities, or purchase account-required digital access.

Certain in-person XPSR events may permit attendees who are 16 or 17 years old with the consent of a parent or legal guardian, subject to event-specific requirements.

Certain purchases, events, opportunities, or services may have additional eligibility requirements disclosed when applicable.

You are responsible for ensuring that your use of XPSR complies with applicable laws.

3. XPSR Accounts

Creating an XPSR Account is currently free.

When creating or using an account, you agree to provide accurate information and maintain the security of your login credentials.

You are responsible for activity occurring through your account and should notify XPSR promptly if you believe your account has been accessed without authorization.

An XPSR Account is separate from an XPSR Creator Profile and from any current or future paid XPSR membership offering.

Creating an account does not require you to create a Creator Profile or purchase a membership.

XPSR may introduce paid membership options in the future. Any such offering will be subject to the pricing, benefits, conditions, and additional terms presented when that offering becomes available.

4. Creator Profiles and the Creator Directory

Users may have the option to create a Creator Profile containing professional or creative information such as a display name, biography, location or service area, creative disciplines, portfolio or website links, social links, availability or opportunity preferences, profile image, and other information they choose to provide.

Creating a Creator Profile is optional.

Creator Profiles may also be eligible to appear in the public XPSR Creator Directory.

When creating or managing a Creator Profile, XPSR provides controls or disclosures regarding public directory visibility. Users may disable directory visibility through their available privacy settings.

Information designated as private or account-only information is not intended to appear publicly in the Creator Directory.

You are responsible for the accuracy of information you voluntarily publish through your Creator Profile.

XPSR does not endorse, certify, or guarantee the qualifications, experience, identity, availability, services, or work quality of any person appearing in the Creator Directory.

5. User Content

You may be permitted to submit content to XPSR, including profile information, photographs, biographies, portfolio links, job or opportunity listings, and other materials (“User Content”).

You retain ownership of your User Content.

By submitting User Content to XPSR, you grant The.Media.Corp LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, and distribute that content only as reasonably necessary to operate, promote, secure, and provide XPSR and the features through which you submitted the content.

You represent that you have the necessary rights and permissions to submit the content and that its use through XPSR does not violate another person’s intellectual-property, privacy, publicity, or other rights.

You may not submit content that is unlawful, fraudulent, defamatory, infringing, intentionally misleading, malicious, or otherwise violates these Terms.

XPSR may remove or restrict content that violates these Terms or applicable law.

6. Jobs and Opportunities

XPSR may allow users to submit employment opportunities, freelance work, contract work, internships, collaborations, and other creative opportunities.

Submission of an opportunity does not guarantee publication. XPSR may review, approve, reject, expire, or remove submissions.

XPSR provides the platform for connecting people and opportunities but is generally not the employer, hiring agency, recruiter, contractor, or representative of the parties involved unless XPSR explicitly identifies itself as such for a particular opportunity.

XPSR does not guarantee that an opportunity is suitable for a particular user, that an applicant will receive work, that a person or organization will hire a particular applicant, the accuracy of compensation or other information supplied by a submitting party, the performance or conduct of either party, or payment for work performed between users and third parties.

Users are responsible for conducting appropriate due diligence before entering into employment, freelance, collaboration, or other professional arrangements.

Any employment, contractor, payment, intellectual-property, confidentiality, or other agreement between users or third parties is separate from XPSR.

7. Events and Ticket Purchases

XPSR may organize, promote, host, or provide access to in-person, virtual, or hybrid events.

Ticket prices, capacity, included benefits, schedules, access requirements, and other event-specific information will be disclosed on the applicable event or checkout page.

Purchasing a ticket provides access only to the event, admission type, or digital experience described at the time of purchase.

Tickets and event access may be subject to capacity limitations and purchase limits.

Physical event tickets may be purchased without an XPSR Account where indicated.

Certain digital or virtual experiences may require an XPSR Account for access.

Additional event-specific policies, including refund policies, may apply and become part of these Terms when you make the applicable purchase.

8. XPSR Creator Summit

The XPSR Creator Summit is currently scheduled for October 24–25, 2026 at RevCine Studios in Temecula, California.

Complimentary on-site parking is available for all XPSR Creator Summit attendees.

Ticket offerings may include Early Bird, General Admission, VIP Creator Pass, and Livestream Pass access as displayed on the event website.

In-person attendance is capacity limited.

A Livestream Pass provides access to the livestream for both event days through the purchaser’s eligible XPSR Account. Livestream access is limited to one pass per account.

Unless expressly stated otherwise, Livestream Passes do not include replay or on-demand access after the applicable live broadcast.

The current schedule, speakers, sessions, and programming may be modified when reasonably necessary.

The XPSR Creator Summit Ticket & Refund Policy contains the controlling event-specific refund, cancellation, rescheduling, and livestream interruption terms.

9. Livestream Access

Certain XPSR events may provide online access through XPSR and third-party streaming technology.

Livestream access may require a valid XPSR Account, an eligible paid livestream entitlement, a compatible device, a supported browser, and a reasonably reliable internet connection.

Livestream access is intended for the authorized purchaser/account holder and may not be sold, redistributed, publicly displayed, rebroadcast, restreamed, recorded for redistribution, or otherwise commercially exploited without authorization.

XPSR may use reasonable technical measures to protect paid livestream access.

Internet connectivity, device compatibility, local network conditions, and failures caused by third-party systems outside XPSR’s reasonable control may affect a viewer’s experience.

Any refund eligibility relating to livestream access is governed by the applicable Ticket & Refund Policy.

10. Payments

Payments for XPSR event tickets and other eligible purchases may be processed by third-party payment providers.

XPSR does not directly store complete payment-card credentials submitted through a third-party hosted payment page.

Prices displayed at checkout are presented before payment authorization.

You authorize the applicable payment provider to charge the payment method you submit for the amount shown at checkout.

Purchases are not considered successfully completed merely because a checkout page was opened or payment information was submitted. Access or ticket fulfillment occurs after successful payment confirmation.

11. Refunds, Cancellations and Event Changes

Refund eligibility for event purchases is governed by the refund policy displayed for the applicable event.

For the 2026 XPSR Creator Summit, the standalone XPSR Creator Summit Ticket & Refund Policy governs refund deadlines and event-specific conditions.

Changes to a speaker, presentation, session, schedule, or programming do not automatically constitute cancellation of the event or create a right to a refund unless otherwise stated in the applicable policy.

If XPSR cancels or reschedules an event, the applicable event policy will explain the options available to ticket holders.

12. Intellectual Property

Except for User Content and third-party materials, XPSR and its associated website content, branding, graphics, design elements, text, software, event materials, and other original materials are owned by or licensed to The.Media.Corp LLC and are protected by applicable intellectual-property laws.

“XPSR” and associated branding may not be used in a way that falsely suggests sponsorship, affiliation, endorsement, or authorization.

Access to XPSR does not grant ownership of XPSR intellectual property.

13. Acceptable Use

You agree not to use XPSR to violate applicable law; impersonate another person or organization; submit fraudulent or intentionally misleading information; post fraudulent employment or business opportunities; harass, threaten, exploit, or abuse others; infringe intellectual-property, privacy, or publicity rights; distribute malware or malicious code; attempt unauthorized access to XPSR systems or accounts; bypass access controls or paid-content restrictions; scrape or harvest personal information in a manner prohibited by law or these Terms; interfere with the operation or security of XPSR; or use XPSR to facilitate scams or unlawful activity.

XPSR may investigate suspected misuse and take appropriate action.

14. Third-Party Services and Links

XPSR may integrate with or link to third-party services, including payment processors, livestream providers, websites, portfolio platforms, and social networks.

Third-party services operate under their own terms and privacy practices.

XPSR is not responsible for third-party websites, services, content, availability, or practices outside XPSR’s reasonable control.

The presence of a third-party link does not necessarily constitute endorsement.

15. Suspension and Termination

You may stop using XPSR at any time.

XPSR may suspend, restrict, or terminate access to an account or feature where reasonably necessary because of violation of these Terms, fraud or suspected fraud, unlawful activity, security threats, abuse of another user, misuse of paid access, or conduct that materially harms XPSR, its users, or its services.

Where appropriate, XPSR may provide notice or an opportunity to resolve an issue before termination.

Termination of an account does not automatically create a right to a refund for a purchase where the applicable refund policy does not provide one.

16. Disclaimers

XPSR is intended to facilitate community, education, networking, discovery, and opportunity.

Except where prohibited by law, XPSR does not guarantee employment or business opportunities, income or business results, creative or professional outcomes, the qualifications or conduct of another user, uninterrupted availability of every platform feature, or that third-party services will always operate without interruption.

XPSR services are provided on an “as available” basis to the extent permitted by law.

Nothing presented through XPSR should be interpreted as legal, financial, employment, tax, medical, or other regulated professional advice unless expressly identified as such and provided by an appropriately qualified professional.

17. Limitation of Liability

To the maximum extent permitted by applicable law, The.Media.Corp LLC and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of XPSR.

Where liability cannot legally be excluded, any limitation will apply only to the extent permitted by applicable law.

Nothing in these Terms excludes or limits rights or remedies that cannot legally be waived under applicable consumer-protection law.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless The.Media.Corp LLC and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful conduct, your User Content, your violation of another person’s rights, or your material violation of these Terms.

This provision does not require you to indemnify XPSR for conduct for which indemnification cannot lawfully be required.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, except to the extent applicable federal law controls.

Before initiating formal legal proceedings, you and XPSR are encouraged to make a good-faith effort to resolve the dispute by contacting support@xpsr.com.

Nothing in these Terms limits any rights or remedies that cannot legally be waived.

20. Changes to These Terms

XPSR may update these Terms as the platform, services, or applicable requirements evolve.

When changes are material, XPSR may provide reasonable notice through the website, account interface, email, or another appropriate method.

The effective date at the top of these Terms will identify the current version.

Your continued use of XPSR after revised Terms become effective constitutes acceptance to the extent permitted by law.
